Counsel to the frontier.
A Toronto practice for digital assets and AI: regulatory and token work, the disputes that follow, and corporate deals from term sheet to close.
Practice
Regulation and enforcement
Licensing strategy and regulatory analysis for digital-asset businesses, with enforcement experience in matters involving the OSC, SEC, CFTC, FINRA, and VARA.
Tokens and treasury
Token launches, distribution and market-maker agreements, foundation governance, and treasury documentation, including ISDAs and custody agreements.
AI and autonomous agents
Product counsel for AI companies: terms of service, marketplace and publisher agreements, data rights, and liability frameworks for agentic systems.
Litigation advisory
Dispute strategy across investigations, enforcement matters, and commercial litigation. I assess exposure, shape the strategy, and manage trial counsel through to resolution.
Corporate and commercial
M&A, financings, strategic partnerships, and the agreements behind them, from term sheet to close.
Counsel
I serve as Chief Legal Officer of the NEAR Foundation and NEAR AI, responsible for legal, regulatory, and governance matters across one of the largest ecosystems in crypto.
I trained at Shearman & Sterling in New York, where I represented a digital-asset exchange in SEC, CFTC, and SDNY investigations, then practised securities and regulatory litigation at Toronto trial boutiques. Since 2022 I have also co-founded and counselled operating companies across decentralized infrastructure, digital-asset treasuries, and AI.
